Account Opening Terms & Conditions

Unless otherwise stated in the Account Application, the terms “you,” “your,” “yourself,” and “yours” refer to the applicant(s). The terms “we,” “us,” and “our” refer to Capstone Investments SA, Place de Longemalle 7, 1204 Genève, Switzerland.
 
Agreement Specifications

1
. Account Types 

You acknowledge that you are solely responsible for selecting the account type that best reflects your circumstances and investment objectives, including Individual, Joint, or Corporate accounts.

2. Account Status

Capstone Investments SA (“the Firm”) agrees to establish and maintain one or more accounts for the Account Holder(s) and to act as broker, dealer, adviser, or intermediary, as applicable, in connection with the execution, settlement, administration, and servicing of investment transactions.

The Account Holder(s) represents and warrants that all information provided in connection with this Account Agreement is true, accurate, complete, and current, and agrees to notify the Firm promptly of any material changes, including changes to financial circumstances or personal information.

Where the Account is held individually or jointly, each Account Holder confirms that they are of legal age and have the legal capacity to enter into this Agreement. Unless otherwise disclosed in the Account Application, no person other than the named Account Holder(s) has any legal or beneficial interest in the Account.

The Account Holder(s) authorizes the Firm to verify information supplied through appropriate third parties where required for regulatory, compliance, anti-money laundering, or credit verification purposes. This Agreement shall become effective only upon acceptance by an authorized representative of Capstone Investments.

3. Accuracy of Information

The Account Holder(s) certifies that all information provided in the Account Application and any supporting documentation is complete, accurate, and current. No individual or entity other than those identified in the Application has any ownership or beneficial interest in the Account unless expressly disclosed.

4. Identity Verification (Know Your Customer & Anti-Money Laundering)

In accordance with applicable Anti-Money Laundering (“AML”), Counter-Terrorist Financing (“CTF”), and Know Your Customer (“KYC”) regulations, the Firm is required to verify the identity of each Account Holder. To facilitate the release of any proceeds, each Account Holder must provide at least one valid government-issued photo identification document.

5. Approval of Transactions

Transactions discussed or agreed with an Investment Representative remain subject to final review and approval by the Firm’s Compliance Department where required. No transaction shall be executed without the Account Holder’s authorization, except where otherwise permitted by law or under a valid discretionary management agreement.

6. Investment Risks

All investments involve risk, including the possible loss of principal. Certain investments, including private placements, pre-IPO securities, derivatives, commodity options, and speculative securities, may involve significantly greater risks and may not be suitable for every investor.

Past performance is not indicative of future results. All investment decisions are made solely at the discretion of the Account Holder unless otherwise agreed under a discretionary investment management arrangement.

The Account Holder acknowledges that neither Capstone Investments nor any of its directors, officers, employees, representatives, affiliates, or agents guarantees investment performance or accepts liability for losses arising from investment decisions, market movements, or other risks inherent in investing.

7. Commissions, Fees, and Charges

The Account Holder agrees to pay all commissions, advisory fees, transaction charges, taxes, foreign exchange costs, custody charges, and any other fees applicable to services provided by Capstone Investments.

Where required, the Firm may convert currencies using prevailing market exchange rates together with any applicable foreign exchange charges.

Current standard commission rates are:

  • Listed Equities and Exchange Traded Funds (ETFs): 1% of the net purchase value and 1% of the net sale value.
  • Commodity Options: US$1 per contract on opening transactions and 2% of net realized profits on closing transactions.
  • Pre-IPO / Secondary Market Securities: No commission is charged upon acquisition. A 2% commission on the net sale value applies once the security has become publicly listed and is sold.

Capstone Investments is under no contractual obligation to facilitate the sale or liquidation of any investment held by the Account Holder. The decision whether to use the Firm for any sale transaction remains entirely at the discretion of the client.

Should the Account Holder elect to transfer or liquidate investments through another financial institution or intermediary, the Firm reserves the right to terminate the advisory relationship and close the Account once all positions have been transferred or liquidated.

8. Recording of Communications

The Account Holder authorizes Capstone Investments to record telephone conversations and other electronic communications where permitted by law. Such recordings may be retained and relied upon as evidence in connection with regulatory inquiries, dispute resolution proceedings, arbitration, or legal actions.

9. Applicable Market Rules and Regulations

All transactions are subject to the constitutions, rules, regulations, customs, practices, and interpretations of the relevant exchanges, trading venues, clearing organizations, regulators, and governmental authorities.

The Firm shall not be liable for any action taken in good faith to comply with applicable laws, regulations, exchange requirements, sanctions, or regulatory directives.

10. Settlement of Proceeds

All transactions are subject to the constitutions, rules, regulations, customs, practices, and interpretations of the relevant exchanges, trading venues, clearing organizations, regulators, and governmental authorities.

The Firm shall not be liable for any action taken in good faith to comply with applicable laws, regulations, exchange requirements, sanctions, or regulatory directives.

11. Governing Law and Dispute Resolution

Any dispute arising directly or indirectly from this Agreement shall, where permitted by applicable law, first be submitted to binding arbitration in a mutually agreed forum.

Nothing in this Agreement shall prevent either party from seeking interim or injunctive relief from a court of competent jurisdiction where necessary to protect its rights. Any judgment arising from arbitration may be enforced by any court having jurisdiction.

12. Entire Agreement

This Agreement constitutes the entire agreement between Capstone Investments and the Account Holder(s) and supersedes all previous oral or written agreements relating to the Account.

No amendment, modification, or waiver shall be effective unless made in writing and signed by an authorized representative of Capstone Investments.

No employee, representative, adviser, introducing broker, investment manager, or other associated person has authority to guarantee profits, eliminate investment risk, or assure the prevention of losses. Any representation suggesting otherwise should be reported immediately to the Firm’s Compliance Department.

13. Margin Trading

Where margin facilities are made available, the Account Holder acknowledges that trading on margin involves borrowing funds secured against assets held within the Account and carries substantial additional risks, including margin calls, forced liquidation of assets, and losses exceeding the initial investment. The Account Holder confirms that they fully understand these risks before engaging in margin trading.
